Vacant role

Head of Fund Structuring & Regulatory Affairs

Fund architecture, governance and regulatory coordination

The opportunity

This role coordinates the legal, regulatory and governance workstreams required to determine whether and how the proposed business and any future fund should be established. It brings structure to a complex professional-adviser process; it does not replace external legal, tax or regulatory advice where those services are required.

What you will lead

  • Coordinate external Jersey and other relevant legal, tax, regulatory and fund-structuring advisers.
  • Help assess and compare possible fund, feeder, distribution and operating structures against investor, tax, governance and operational needs.
  • Maintain a regulatory and launch-readiness workplan, including decisions, dependencies, approvals, deliverables and accountable owners.
  • Develop governance arrangements covering conflicts, valuation, investment decisions, delegation, oversight, complaints and recordkeeping.
  • Coordinate service-provider selection and documentation for fund administration, audit, custody, banking, compliance and other required services.
  • Ensure product, recruitment and fundraising materials are reviewed through the appropriate legal/compliance process before publication or use.

Experience and approach

  • Relevant senior experience in fund formation, fund operations, legal, compliance, regulatory affairs or professional-adviser management in private markets.
  • Practical familiarity with Jersey funds or cross-border private-market structures is desirable.
  • Strong programme-management skills and the ability to translate adviser input into a clear decision log and delivery plan.
  • Appropriate professional qualifications for any legal, tax or compliance advice personally offered; otherwise, a clear understanding of the role of external specialists.
  • A careful, proportionate approach to regulatory perimeter, investor protection and conflicts of interest.

Initial priorities

  • Build a structure-options paper and a list of key legal, tax and regulatory questions for counsel.
  • Create the workplan for entity formation, fund structuring, provider selection and launch readiness.
  • Identify governance policies and disclosures required before the business takes on investors or begins regulated activities.
  • Establish version control and clear sign-off responsibilities for core documents and public materials.

What success looks like

A coordinated, well-documented structuring and launch workstream, with clear advice ownership, decisions, dependencies and governance controls.
